These License Manager Terms (these “Terms”) govern access to and use of License Manager to facilitate the licensing of IP by rights holders for use in content on the Roblox platform. By clicking “I accept” or otherwise accessing or using License Manager, you are entering into a legally binding agreement between you and Roblox. These Terms apply in addition to the IP Platform Terms, which you already agreed to and are hereby incorporated into these Terms. Any capitalized terms not defined here have the meaning ascribed to them in the User Terms or IP Platform Terms, as applicable.
To use License Manager, you must have the exclusive, unconditional, worldwide right and ability to control the use of the IP in any and all media now or hereafter known. With respect to any non-music IP, you must also be the legal owner of the IP, including all copyrights and all trademarks of such IP, throughout the world.
Licensing.
- General. License Manager allows you to offer a license to Roblox to your IP so Roblox can sublicense it to specific Creators, at your discretion (such IP, “Licensed IP” and such sublicense, an “IP Sublicense”), in exchange for certain benefits including a percentage, at the rate you specify in the applicable Listing (the “Revenue Share Rate”), of the Creator Payment that Roblox would otherwise pay to the Creator to whom Roblox has granted the IP Sublicense in respect of the Permitted UGC (such amount, “Revenue Share”) and/or aggregated performance data. You may offer an IP Sublicense to Creators who may be using your IP in their UGC (“Reactive Licensing”), and you may review and accept applications by Creators who wish to publish new UGC that features your IP (“Proactive Licensing”). Further details related to the licenses described in this section can be found in License Manager and related documentation.
- License Listing. You may request to create a listing for your IP. In your listing, you can specify the terms for the IP Sublicenses for that IP, including the applicable Revenue Share Rate and license duration (each, a “Listing”). You can remove your Listing from the license catalog at any time.
- UGC License Granted to Roblox with Sublicense Rights to Creator. By requesting that Roblox add a Listing to our license catalog, you grant Roblox a worldwide, non-exclusive license and right to grant an IP Sublicense to each Creator with respect to whom you approve, on License Manager, to use that IP in the approved-Creator’s applicable UGC and corresponding metadata (such license to Roblox, a "UGC License" and such UGC and corresponding metadata, "Permitted UGC") in accordance with these Terms and the User Terms. The UGC License is granted on the terms of Section 3.2 of the User Terms, and is a license of intellectual property for the purposes of Sections 4.2, 6 and 6.2 of the Creator Terms. References in Section 6 of the Creator Terms and in the DevEx Terms to a license of UGC to Roblox under Section 3.2 of the User Terms include the UGC License you grant under this Section 1(c).
- License Term. Each IP Sublicense is effective from the acceptance of a license offer (by Creator, if Reactive Licensing, or by you, if Proactive Licensing) and expires at the end of the specified duration for the applicable IP Sublicense granted by Roblox to the applicable Creator (if any), unless earlier terminated in accordance with these Terms. A UGC License is effective from the date of your Listing and expires upon the earlier of: (i) expiration or termination of the last active IP Sublicense under that UGC License, or (ii) removal of the Listing if no IP Sublicenses are then outstanding.
- Content Types. You may designate the specific type(s) of UGC that each UGC License permits your Licensed IP to be used in (e.g., games, avatar items, in-game products) by choosing the appropriate setting on License Manager, at your discretion. Each UGC License and any associated IP Sublicense includes (i) the right for the relevant Creator(s) and any downstream Users who obtain the Permitted UGC to use the Licensed IP as incorporated in the Permitted UGC and all features for that content type provided by Roblox, and (ii) the right for Roblox to provide the Permitted UGC to Users. For example, if you grant a UGC License for a Creator to make a resellable avatar item, the UGC License includes the right for the Creator to create and sell the item, the right for Users who purchase or otherwise hold the item to mix-and-match it with other avatar items and to resell or transfer it, and the right for Roblox to provide all functionalities related to the item, in each case in accordance with these Terms and User Terms. The foregoing right for Users who purchase or otherwise hold a Permitted UGC and for Roblox will (y) survive any expiration or termination of the applicable IP Sublicense or UGC License, or these Terms, and (z) continue until and unless the Permitted UGC is removed from the Roblox platform by Roblox, including in response to a takedown notice.
- Reactive Licensing. License Manager may allow you to offer an IP Sublicense to a Creator who may be using your IP in their UGC by creating a private Listing. When you request that a Creator enter into a Reactive License, the Creator will be permitted to dispute whether a Reactive License is necessary as part of the License Manager dispute process.
- Proactive Licensing. License Manager may allow you to accept or reject IP Sublicense applications from Creators by creating a public Listing. You agree that, prior to the grant of an IP Sublicense, Creators may use your IP to create mockups (including using visual assets) solely for use in their pitch to you, and that you will not unduly delay your review of Creator applications.
Information You Provide.
- Contact Information. You agree that Roblox may share any contact information that you provide in License Manager, such as name and email address, with the Creators with whom you choose, through License Manager, to make a licensing offer or otherwise engage in licensing discussions.
- Listing Materials. Notwithstanding anything to the contrary in the IP Platform Terms, to the extent you provide any Reference Materials to be made publicly accessible to Users on the Roblox platform (such as assets for your Listing), such Reference Materials are considered UGC and subject to all applicable terms and policies under the User Terms.
Your Covenants.
- Covenant Not to Sue Creator. During the period of each IP Sublicense and for any associated Wind Down Period (as defined below), you agree and covenant not to take legal action against the Creator of the applicable Permitted UGC for any claims related to either (i) your Licensed IP in the Permitted UGC, or (ii) the corresponding IP Sublicense.
- Covenant Not to Sue Roblox. In consideration of the use of License Manager and your potential to earn Revenue Share, you agree and covenant not to take legal action against Roblox for any claims related to either (i) any UGC identified in Surfaced Information, or (ii) content that is licensed or has been licensed via a UGC License.
- Takedown Notices. You agree not to submit any IP takedown notices or take other legal action with respect to any UGC identified in Surfaced Information for Reactive Licensing until you have either completed the offer/dispute process or rejected licensing the IP at issue to the UGC’s Creator within License Manager.
- Aggregated Data. Through your use of License Manager, you may receive access to certain aggregated performance data about UGC on the Roblox platform. Except to the extent required by law, you agree not to share this data with any third party; provided that if you’re using IP Platform on behalf of an IP owner, then you may share it with the IP owner. You agree not to attempt to reidentify or otherwise disaggregate any aggregated performance data provided to you.
Representations and Warranties.
By using License Manager, you represent and warrant that (a) you own or control any and all rights in the IP you offer for a UGC License or license in any Permitted UGC, (b) you have the exclusive, unconditional, worldwide right and ability to control the use of the Licensed IP in any and all media now or hereafter known and the right to grant any UGC Licenses and permit the corresponding IP Sublicenses under these Terms, (c) you have acquired all necessary third party rights, and made any and all necessary payments to third parties and no consent of, or payment to, any third party is otherwise required for you to grant the rights with respect to the Licensed IP or for such rights to be exploited under these Terms, (d) the Licensed IP does not and will not defame, infringe or violate the rights of privacy or any other rights, including intellectual property rights, of Roblox or any third party, (e) any and all ownership documentation (e.g., registrations and chain-of-title documentation) in respect of the Licensed IP provided by you to Roblox is true, correct and complete, (f) if agreeing to these Terms on behalf of another person or entity, you have the necessary authority to bind that other person or entity to this legal agreement, including the covenants not to sue, and (g) you are over 18 years of age.Payment and Taxes.
- Revenue Share. In consideration of the UGC License you grant Roblox under Section 1(c), and of Roblox’s exercise of the rights licensed under it (including by granting IP Sublicenses), Roblox will pay you a Revenue Share. You begin to accrue Revenue Share only after Roblox has granted the relevant IP Sublicense under Section 1 and you have verified that your IP appears in the relevant UGC. For Permitted UGC that can be resold by Roblox (e.g., avatar items), the agreed-upon Revenue Share will apply to initial sales and resales of the Permitted UGC, in accordance with these Terms.
- Payment. Roblox contracts with Users as principal distributor and Merchant of Record for the distribution and monetization of all Permitted UGC. The Revenue Share Rate and any metrics applied to it are used solely to measure the value of Roblox’s exploitation of the Licensed IP, and do not represent consideration for any activity performed by you, for any forbearance, release or covenant not to sue, for any interest in a Creator’s business, or for any entitlement to revenues generated by Roblox other than the Revenue Share. You are an Earning Party and amounts payable to you under these Terms are Creator Payments, as those terms are used in the Creator Terms. Sections 4.2, 6 and 6.2 of the Creator Terms govern their characterization and the tax reporting and withholding applicable to them. Revenue Share is tracked as Earned Robux and paid under the DevEx Terms or such other payment terms as Roblox makes available.
Content Standards.
You may make the use of your Licensed IP in UGC, pursuant to an IP Sublicense granted by Roblox, contingent on a Creator and their UGC meeting certain standards and guidelines you provide in License Manager (“Content Standards”) that will be communicated to Creators. If after the IP Sublicense commences, you reasonably determine that the Creator has materially violated the Content Standards, you will have the opportunity to notify the Creator of the violation within License Manager and the Creator will have an opportunity to remedy the violation (such notice and remedy process, the “Compliance Process”). You may terminate the applicable IP Sublicense (subject to the conditions described in Section 7) if, at the end of that Compliance Process, based on your reasonable, good faith determination, the violation remains uncorrected.
Term & Termination of License.
-
Termination of License.
- You may only terminate a UGC License (and all associated IP Sublicenses) due to the termination of these Terms as described in this Section 7 or otherwise in limited circumstances as determined by Roblox in its sole discretion.
- You may terminate an IP Sublicense (without impacting any other IP Sublicense or the underlying UGC License) following the Compliance Process outlined in Section 6 and providing Roblox with at least 30 days advance written notice (“Revocation Notice”). The Revocation Notice must be sent to iplicensing_agent@roblox.test1709.icu or such other communications channel as specified by Roblox, identifying the applicable Permitted UGC. Upon receipt of a Revocation Notice, Roblox will notify the Creator, and the Creator will have, from the date the Revocation Notice is received, the shorter of: (a) 60 days or (b) number of days that equal the duration of the time-limited IP Sublicense being revoked (where applicable) from the date the Revocation Notice is received to remove Licensed IP from the applicable UGC (“Wind Down Period”), provided that any applicable Revenue Share will continue to accrue during the Wind Down Period.
- A Creator of Permitted UGC will have the ability to terminate an IP Sublicense in the event that continued association with the relevant IP may, in Roblox’s reasonable determination, (a) damage the reputation of the Creator or Roblox, or (b) cause other material harm to the Creator or Roblox (in which case, Roblox will provide advance notice to you, where reasonably practicable); provided that the Revenue Share will continue to accrue to you and the Creator will be required to satisfy any other agreed-upon obligations until such time as your IP is fully removed from the UGC.
- Term. These Terms shall remain in full force and effect until terminated in accordance with this agreement. Either party may terminate these Terms by providing 30 days’ written notice: (i) as to Roblox, to legal@roblox.test1709.icu or such other communications channel as specified by Roblox, provided that all existing IP Sublicenses have been fully terminated in accordance with Sections 7(a) and 7(b) and (ii) as to you, to the email address designated by you when you register for IP Platform. In the event of termination of these Terms, as applicable, the rights and duties of Roblox and you to each other under these Terms will terminate except that any part of the Terms, which by their nature should survive termination, will survive, including Sections 1(e), 3, 4, 5, 7(b), 8, and 9. In the event there are any outstanding IP Sublicenses on the effective date of Roblox’s termination of these Terms, each such IP Sublicense will continue only until the applicable Wind Down Period, if any, has concluded. Termination of these Terms shall have no effect on any other agreement between you and Roblox, including the IP Platform Terms and User Terms, which will remain in effect and binding.

Termination of License.
Misuse.
Any violation of these Terms, IP Platform Terms, or User Terms, such as submitting a false or fraudulent assertion of IP ownership, may result in the termination of your access to License Manager, IP Platform, and/or the Roblox platform and related services, in addition to disgorgement of any profits and any other remedies available to Roblox and/or the valid IP owner under applicable law.
License Manager Provided “As Is.”
Roblox provides License Manager as a tool through which rights holders may license their IP to Roblox and Roblox may grant IP Sublicenses to Creators. Roblox acts as principal in taking each UGC License and in granting each IP Sublicense, and not as agent, broker or intermediary for you or for any Creator. Roblox does not guarantee the result of any licensing arrangement, and Roblox is not liable or responsible for any outcomes (or lack of outcomes) arising from your use of License Manager, including with respect to the quality, performance, or availability of License Manager or any Permitted UGC. For avoidance of doubt, Roblox reserves the right, in its sole discretion and without obligation or penalty, to limit, suspend, or terminate features of License Manager, including without limitation, content identification for Reactive Licensing, in connection with technical issues or exigencies, violations of Roblox policies, or as otherwise reasonably required for Roblox operations.
Updates.
These Terms are subject to change. To the extent required by applicable law, Roblox will provide you with reasonable advance notice of any material updates or modifications by any reasonable means of notification, provided that non-material changes will be deemed to be effective immediately and without notice. Your continued access to or use of License Manager constitutes your acceptance and agreement to all changes. To the extent there is a conflict between these Terms and any other agreements between you and Roblox, these Terms will govern your access to and use of License Manager, except that Sections 4.2, 6 and 6.2 of the Creator Terms govern the characterization of, and the tax reporting and withholding applicable to, all Creator Payments, including all amounts payable to you under these Terms.
